Viability Review; Due Diligence



Background

Levi’s client was a major bank. The bank was about to cash-flow lend monies to fund a management buy-out (MBO). The bank wanted an independent opinion on the new management team; their business plans and ability to achieve forecast business growth, projections and loan covenants; succession plans and shareholder dispute resolution procedures contained in shareholders’ agreements.

Levi can also act for the company owner or MBO team.

In this example, the underlying business had $40m turnover across 10 retail stores with an iconic brand name. Funding of $7m .

Conclusion

Levi met with the MBO team. He reported to the bank and followed with additional enquiry and due diligence to assist the bankers.
